Corporate Governance

Why specialize in Corporate Governance? Because governing is a profession: corporate governance at the top and the professionalization of ownership decide more outcomes than any strategic plan. This program trains that profession.

Program Profile

Who is this program for?

The program brings together those who govern from ownership, those who sit on the Board and those who execute its decisions. That mix is the product: every case is debated with all three perspectives in the room, which is exactly how a real Board works — or fails.

What does the program bring to your company?

This is not a course about corporate governance. It is about learning to make yours work.

Methodology

Interactive, Practical Methodology

Participants take the leading role in a simulated session of the Board of Directors.
«Decisions are made; they are not commented on.»
The classroom brings together the three sides of the table: ownership, Board and management. The debate feels like a real Board meeting because it is one.

The fastest way to understand it is to attend a real session.

The Case Method for critical decisions
You analyse the case on your own and reach your own conclusions before sitting down at the table.

You join a high-performance team that acts as a Board of Directors, guided by an experienced facilitator.

The professor leads the discussion, while participants take the lead in simulated Board and committee sessions, assessing major decisions and transactions.

Round tables with sector leaders and high-level interactive lectures bring the experience of other Boards into the classroom.

Curriculum

Academic Content

The journey works from the outside in: first governance and ownership, then the Board and its members, and finally how it really operates, committee by committee.

Understand what governance means and the role played by those who own the company.

Board role play

Sessions in which participants act as a Board of Directors and its committees. You practise the role before taking it on.

Understand what a good board member does and what is expected of them.

Workshops on real documents

Shareholders’ agreement, financial strategy and management dashboard: three tools that shape real power in a company, explored in workshop format.

Move from the organization chart to practice: agenda, dynamics and committees.

Conversations with those who already govern

Conversations with chairs, managing directors, CEOs and serving board members. First-hand experience, not theory.

Success Stories and Testimonials

Frequently Asked Questions

Is it compatible with my current roles?

Yes. The program is designed for people who already hold positions of responsibility and lead very active professional lives. The time commitment is designed so you can combine it with your responsibilities as an owner, chair, board member, CEO or senior executive, while applying what you learn to the reality of your company from day one.

Admission aims to ensure a group of participants whose experience and profiles enrich collective learning. After you request information, the San Telmo team reviews the candidate’s professional background and holds a personal interview to learn about their experience, current responsibilities and goals. This ensures a high-level environment in which the exchange of experience is an essential part of learning.

The program fee is €12,850. A deposit of €1,500 is payable to secure your place.

The fee includes all teaching materials, working lunches, coffee breaks, dinners and hotel accommodation.

Yes. Although the program is aimed at serving board members, it is also especially valuable for those who expect to join a Board of Directors or Advisory Board soon. It provides a practical view of corporate governance and helps participants understand the role of ownership, how boards operate and the responsibilities of board members, preparing them to take on these roles with sound judgment and effectiveness.
